You must be at least 18 years old or have legal authority to act on behalf of an eligible organization to use our services. If you are acting on behalf of a minor or protected person, provide documentation of authority when requested.

Services must be used for lawful purposes only. You agree not to use nunirixo services to facilitate illegal activity, deceive third parties, or interfere with the legal rights of others.

Certain services may be limited by jurisdictional rules. nunirixo focuses on legal services for entrepreneurs operating in Thailand and may decline matters that require licensed representation outside Thailand.

Accounts and Access

Some resources may require an account or registration. You are responsible for maintaining accurate account information and for activity under your account. Keep login details secure and notify us promptly if you suspect unauthorized access.

Provide truthful, up-to-date information when creating accounts or submitting documents. Incorrect or incomplete information may delay services or lead to suboptimal legal advice.

We implement technical and organizational measures to protect account access. You must use reasonable security practices for your credentials and devices. We are not liable for losses resulting from your failure to safeguard account information.

Accounts are personal and non-transferable unless explicitly agreed in writing. Do not share credentials; contact our support if you need multi-user access under a business account.

If you suspect unauthorized use of your account, notify us immediately at the contact details on nunirixo.info so we can take steps to secure the account and contribute.

We may suspend or restrict account access where necessary for security, suspected misuse, non-payment, or to comply with legal obligations. Reasonable notice will be provided where practicable.

Scope of Services

nunirixo provides legal advisory services tailored for entrepreneurs: company formation, contract drafting and review, regulatory compliance, labor law support, dispute assessment, and document templates. Specific deliverables and timelines are set out in engagement letters for each matter.

We may modify service offerings, features, or materials to reflect regulatory change or improvements. Existing engagements will be managed according to the terms agreed at the time of engagement unless otherwise agreed in writing.

Service availability may be affected by workload, court schedules, or external factors. We will communicate expected timelines and work with clients to prioritize urgent matters where feasible.

User Responsibilities and Rules

When using nunirixo services, clients agree to follow reasonable rules to protect quality and compliance. Key expectations include:

• Provide accurate and complete information relevant to the legal matter.
• Cooperate with requests for documentation and instructions to allow efficient handling.
• Respect confidentiality obligations and avoid sharing privileged materials without guidance.
• Use services for lawful business purposes and not to facilitate fraud or unlawful conduct.
• Pay agreed fees and reimburse pre-approved expenses in a timely manner.
• Comply with any filing or procedural requirements advised by our team.
• Communicate changes in case-relevant facts promptly to avoid unnecessary risk.

User-Provided Content

You may submit documents, business information, and instructions necessary for legal work. Such user-provided content supports the delivery of services and is used only as permitted by these terms and applicable privacy commitments.

You retain ownership of materials you provide, subject to any license you grant nunirixo to use those materials for the engagement. Ensure you have the right to share any third-party content you upload.

By submitting content, you grant nunirixo a non-exclusive, royalty-free license to use, reproduce, and store the content solely to perform the contracted services and for retention as required by law.

You are responsible for the accuracy and lawfulness of user-provided content. We rely on the information you supply to form legal advice and may request verification where necessary.

On request, we will return or securely delete non-retained documents where feasible, subject to legal retention requirements and any ongoing obligations tied to the matter.

Intellectual Property

Unless otherwise agreed, nunirixo retains intellectual property rights in proprietary templates, training materials, and methodologies. Client-specific documents created under engagement are licensed for client use and may include limited reuse terms for future matters.

• Do not reproduce or distribute nunirixo proprietary materials outside your organization without written permission.
• Do not claim ownership of nunirixo templates or tools adapted for your use without proper acknowledgement.
• Unauthorized commercial reuse of nunirixo content is prohibited and may result in termination of service and liability for damages.

Paid Services

Certain services require payment of fees, including fixed-price packages, hourly billing, or retainers. Fee structures and scope are detailed in engagement agreements specific to each client matter.

Pricing is provided in writing before work begins. Estimates rely on information available at the time; additional work outside scope may incur supplementary charges with prior client approval.

Invoices are due per the terms in the engagement agreement. Acceptable payment methods and bank details are provided on invoices and on nunirixo.info. Timely payment enables continued service delivery.

Subscription or retainer arrangements, if offered, will specify billing cycles, included services, and termination rights. Subscriptions remain subject to these Terms and any additional subscription agreement.

Refunds, where applicable, are handled on a case-by-case basis and aligned with the terms of the specific engagement. We assess fees based on work performed, elapsed time, and any costs incurred on behalf of the client.

Either party may terminate an engagement in accordance with the termination provisions. Clients remain responsible for fees for work performed and costs incurred up to termination unless otherwise agreed.

Clients are responsible for applicable taxes, duties, or withholding related to payments. Fees quoted may be exclusive of taxes and will be adjusted as required by law.

We may update pricing for future engagements to reflect market, regulatory, or cost changes. Existing fee arrangements remain in effect unless renegotiated or specified otherwise.

Failure to pay invoices may result in suspension of services, retention of work product, or referral to collections. We will provide notice and an opportunity to address issues before taking escalated measures.

Professional Disclaimer

Information provided through nunirixo does not constitute guarantees of outcome. Legal advice depends on full facts, evidence, and applicable law. Our role is to advise, prepare documents, and represent clients where agreed; results are influenced by circumstances beyond our control.

Limitation of Liability

To the maximum extent permitted by law, nunirixo's liability for direct damages arising from professional services is limited to fees paid for the specific engagement. We are not liable for indirect, incidental, or consequential losses resulting from reliance on provided advice.

Third-Party Services and Vendors

We may engage third-party providers for research, filing, or translation services. Third parties are chosen with care; however, nunirixo is not responsible for third-party performance beyond oversight and reasonable due diligence.

Termination

Either party may terminate an engagement for material breach or other valid reasons outlined in the engagement agreement. Termination procedures, notice periods, and outstanding obligations are set forth in the client contract.

On termination, outstanding invoices become due, and we may cease work immediately. We will provide copies of client materials as required by law and keep records consistent with retention policies.

Privacy and Data Protection

Our privacy practices are described in the Privacy Policy. We handle client data with confidentiality and appropriate safeguards, process data only for agreed purposes, and comply with data protection requirements applicable in Thailand.

Communications and Notices

Official notices related to engagement or these Terms should be delivered to the contact details on nunirixo.info or the address listed in your engagement letter. Electronic communications are accepted but sensitive instructions may require secure channels.

Changes to Terms

We may update these Terms to reflect legal, operational, or business needs. Material changes affecting existing engagements will be communicated, and continued use after updates constitutes acceptance unless otherwise agreed.

Governing Law

These Terms and any disputes arising from them are governed by the laws of Thailand. Parties agree to seek resolution through the mechanisms described below before pursuing formal proceedings where feasible.

Dispute Resolution

Clients and nunirixo will attempt to resolve disputes through good faith negotiation and, if necessary, mediation. If unresolved, disputes may be referred to competent courts in Thailand in accordance with applicable law.
